A new and exciting job opportunity has arisen for a Company Secretary to join a global firm providing financial services specialising in Inv! estment Banking, Wealth & Asset Management.
Responsibilities:
Advising the IB business and business management on strategic investments and disposals and commercial arrangements for the companies account including private equity type investments and disposals, joint ventures, strategic commercial agreements, shareholders agreements
Advising on IB own account mergers and acquisitions activity
Liaising with Group strategic advisory functions in relation to larger M&A transactions
Corporate Governance
Advising on UK directors duties and responsibilities generally
Corporate governance including general advisory, internal policy development and implementation and application of legislative and regulatory developments in the UK and Europe Middle East and Asia to support the governance and operations throughout the region
Corporate Structure
Advising on capital reductions, liquidations and other restructuring activity
A! dvise and support the establishment of new subsidiaries, branc! hes and offices, including licensing arrangements
General business support to Europe Middle East and Asia offices
Supporting local Chief Operating Officer and compliance officers in Europe Middle East and Asia offices in relation to miscellaneous legal queries, commercial agreements and engagement letters for service providers.
