Senior Staff Administrator (Commercial Contract Manager) The candidate will review, negotiate, and administer commerci! al technology agreements related to the provision of software, hardware and services, including implementation, licensing and maintenance agreements. Will add value throughout the sales process and post-signature contract management, including review and negotiation of project proposals, contracts, and amendments, familiarizing delivery teams on exceptional provisions in negotiated contracts, and advising project managers with respect to contract terms. Ensure compliance with corporate and divisional policies and acceptable risk standards. Liaise with and escalate issues in a timely manner to internal stakeholders as appropriate for determination/resolution. Advise management of contractual rights and obligations and assist on requests for analysis of contracts in connection with other business transactions. Actively identify and drive improvements to contract risk management and contracting efficiency; and train sales and delivery teams to enhance their working knowledge o! f contract risk management issues and mitigation paths over ti! me.
The candidate should have a Bachelor degree in a related business discipline. A Legal degree preferred. Should have 10+ years of experience in drafting and negotiation of complex commercial software licenses, technology agreements, software implementation agreements (services) and software maintenance agreements. Strong experience of negotiating terms and conditions (warranties, limitation of liability, indemnity and IP licensing) essential. Practical UCC knowledge and contracting experience needed. Knowledge of the legal environment of State and Local governmental customers essential.
