Corporate Counsel Duties: Will report directly to an Assistant General Counsel and will provide legal support to the TESS (Technology and Su! pport Services), Vendor Management, and HR areas of company. Draft, review, and edit legal documents and materials. Monitor and stay current on regulations and laws that impact bank operations. Provide legal services and counsel to clients in relation to laws and regulations in the client's line of business. Produce clear and concise written materials that can be submitted to the customer. Identify and analyze more complex or novel matters; develop conclusions, make recommendations, and provide reliable advice. Formulate and carry out research and investigative strategies. Advise clients on risks in one or more assigned departments or units of the organization. Work with outside counsel to develop agreements, strategies, briefs, and communications; supervise outside counsel work. Work directly with business clients and develop an understanding of business unit needs, products, and projects. Contribute advice and counsel on policy and procedures. Identify the level and type ! of outside legal assistance needed; assess the cost of outside! legal services and supervise outside counsel to ensure that the fees charged are reasonable.
Qualifications : Four year college degree (excellent academic credentials). A Juris Doctorate degree (excellent academic credentials) from an accredited law school; State Bar certification. 3+ years of legal experience with a law firm with experience working with contracts and other complex legal documents in a commercial law practice. The ability to work with various regulations and banking laws and to coordinate with internal attorneys, lines of business, compliance personnel, and external vendors to address bank operational issues, HR concerns, and negotiate contracts.
