The Chief Compliance Officer has overall responsibility for company compliance with federal and state consumer protection and mortgage banking laws and regulations.

Responsibilities:
Ensure regular review, analysis a! nd recommendation for operational compliance with Federal and ! pertinent state laws and regulations.
Manage company legal matters and coordinate with all parties including selecting and retaining outside counsel if needed
Provide oversight, monitoring, and analysis of proposed, pending, revised and new laws and regulations impacting mortgage servicing and originations operations
Conduct regular research of state-mandated operational requirements and limitations for mortgage-related activities
Effective communication to executive management of upcoming changes resulting from federal or state laws or regulations, including recommendations for compliance
Manage corporate state qualification and maintenance of good standing with state Secretaries of State, including filing of state annual reports and corporate change filings
Manage state mortgage banking licensing, including license applications, follow up, renewals, monitoring company and QI/control person status, NMLS updates
Complete state licensing agency re! porting (some quarterly, some annually), including NMLS updating and Mortgage Call Reports
Coordination, cooperation with and guidance to sales leadership in monitoring loan originator licensing
Coordinate with state licensing authorities, agency, and others conducting exams or audits of the company. Review, investigation and response to findings.
Manage, review, investigate and respond to consumer complaints, including litigation
Provide oversight of sub-servicing vendor, including day to day activities, regular meetings and management of required coordination of activities
Ensure compliance with all servicing requirements and regulations
Coordination with Operations Department in developing policies and procedures implementing federal- or state-mandated processes or disclosures
Participate in development of loan products and programs and other company initiatives
Provide direction and guidance to staff related to compliance function
Par! ticipate in review of company agreements and contracts
Provide trai! ning and guidance to departmental staff and other departments regarding compliance requirements and best practices
Participate in system testing of state and federal requirements, including required documents and procedures
Partner with Corporate Operations, creating written policies and procedures, instructions and training related to mortgage banking operations
Maintenance of trademark filings, dba and assumed name filings, and applications for dbas or assumed names in additional states
Participate in credit policy committee and special attention committee, providing input and advice from a compliance perspective
Serve as architect and owner of enterprise-wide policies and training modules related to fair lending, privacy, AML, internal audit, etc. Responsible for facilitating fair lending training and testing, AML training and SAR reporting, oversight of vendor management policy
Serve as on-site resource for ad hoc questions from fulfillment, oper! ations and TPO Administration concerning application of compliance policies to specific fact situations
Assist investor relations in providing solutions to investors for suspenses
Provide review and approval of powers of attorney used in loan transactions
Maintain corporate record keeping (preparation of corporate resolutions and certificates of secretary)

Qualifications:
Required Knowledge and Experience (level of expertise and comprehension of principles, facts, and subject matter):
J.D. or licensed attorney with excellent academic record
Admission to and good standing with any state bar. Multi-state practice or bar admissions a plus
Minimum 3 to 5 years of experience as an attorney, with a preference for attorneys who have worked in house or have had significant business compliance management exposure
Minimum ten years direct compliance management experience, preferably with the mortgage GSEs (Ginnie Mae, Freddie Mac and /o! r Fannie Mae)
Minimum ten years experience managing and coordinatin! g multi-jurisdictional licensing and doing business filings and maintenance
Minimum eight years leadership experience managing staff
Well-versed in federal consumer financial protection laws and regulations
Familiar with NMLS processes and state licensing requirements and procedures
Experienced and effective researcher in statutes, regulations, and commentary
Familiar with legal terminology and legal documentation
Required Skills and Abilities (proficiency; abilities acquired from knowledge, practice and understanding):

Ability to research regulations and assist management in interpreting guidelines for lending compliance
Must have an understanding of the control environment and audit procedures of the lending business.
Strong analytical skills capable of distilling complex information, ability to gather, review and assess quantitative and qualitative information, develop and support conclusions and make practical recommendations Effective time management skills
Prioritize multiple tasks and projects to meet required deadlines
Creative solution provider
Effective written and oral communications skills to organize and present data, describe conclusions and recommendations and provide consultative guidance.
