To provide legal counsel to management and subsidiaries of the Southern Company; to handle legal matters, transactions and other issues as assigned by the Associate General Counsel; direct and assist outside counsel; supervise and provide performance management for and review the work product of employees in various job classifications including attorneys, paralegals, support and other staff; assist in the implementation of legal policies and practices for the corporation; assist in the management of legal costs; and perform such other duties as assigned by the Associate General Counsel .

JOB RESPONSIBILITIES

Manage four (4) Level 7 attorneys - oversee the job performance and professional development of four in-house attorneys who provide legal counsel and advice to a wide variety of business units across the Southern system Participate in the development of legal and commercial policies and procedures aimed at minimizing contractual risk, successfully managing contracting activities, and capturing maximum value from Southern's commercial transactions Involvement in strategic planning and implementation of various system-wide initiatives, including GLSCAPE, Maximo, and Emptoris (a contract management application) Actively participate on governance committees that have oversight responsibility for the development, management, and administration of contracts and other commercial transactions across the Southern system Lead a system-wide group of attorneys and SCM personnel to review, update and standardize the contract templates used across the system Counsel with all levels of management across the Southern system on a broad range of legal, commercial, regulatory, and compliance issues affecting numerous business units Interact with contacts at various governmental agencies, including the DOE and DOL Provide legal counsel, draft agreements, and negotiate commercial and legal terms and conditions for a broad range of transactions for business units across the Southern system, such as

Master agreements for various services for use by any business unit Various agreements associated with Plant Ratcliffe in Kemper County, Mississippi SCG's policies, procedures, and contractual arrangements for third party background investigations and drug screening

Dedicated attorney for Southern Generation Technologies, LLC, which involves working with SGT management to

Address a variety of issues related to domestic and international licensing of Southern owned technology Advise on international business practices, including expertise in the Foreign Corrupt Practices Act and U.S. import and exports controls Negotiate contracts with licensees of Southern owned technologies Manage IP portfolio, including management of outside counsel in domestic and international patent, trademark and copyright protections

Dedicated attorney for the National Carbon Capture Center at SCS's Power Systems Development Facility, which involves working with NCCC management to

Negotiate agreements with the U.S. Department of Energy ("DOE") Address a variety of regulatory matters with DOE Operate within the parameters of and maintain compliance with DOE agreements and policy Implement policies and procedures related to the technology and processes being developed at the NCCC Develop and implement strategies for protecting inventions and other intellectual property created at the NCCC Negotiate research and development collaboration agreements (including sharing of intellectual property rights) with third parties who partner with Southern to perform projects at the NCCC Draft and negotiate contracts with numerous third parties related to the work and projects at the NCCC

Develop and cultivate new internal clients with the intent of reducing the costs of relying on external counsel and maximizing the ability to standardize certain contractual practices across the system (and thereby minimize risks) Direct and assist outside counsel representing the Company in various transactional matters

JOB REQUIREMENTS

Graduate of an American Bar Association accredited law school with at least an L.L.B. or J.D. degree and strong academic credentials At least 10 years experience practicing in relevant areas of law in-house and/or in private practice Licensed to practice law in one or more states in which the company or its subsidiaries operate Excellent interpersonal skills, highly developed written and verbal communication skills to convey complex concepts and topics, extensive analytical and problem solving skills Substantial negotiation and/or litigation experience Minimum travel required Demonstrated ability to exhibit and manage within Southern Style - unquestionable trust, superior performance, and total commitment
